1. Agreement to Terms

By accessing or using Neuravoid's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our Services.

2. Description of Services

Neuravoid provides data consulting services, including but not limited to data analysis, data strategy consulting, machine learning solutions, data architecture design, and related professional services ("Services").

3. Use of Services

3.1 B2B Only

Our Services are provided exclusively to businesses acting in the course of their professional activity (B2B). By using our Services, you represent and warrant that you are at least 18 years old, that you are entering into this agreement on behalf of a business, and that you have the legal authority to do so. We do not contract with consumers.

3.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Use the Services to transmit any harmful, threatening, abusive, or defamatory content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our Services
• Use automated systems or software to extract data from our Services without our written permission
• Impersonate Neuravoid or any other person or entity

4. Intellectual Property Rights

4.1 Our Property

The Services, including all content, features, functionality, software, and technology, are owned by Neuravoid and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 Client Data

You retain all rights to any data, materials, or content you provide to us ("Client Data"). By providing Client Data, you grant Neuravoid a limited, non-exclusive license to use, process, and analyze such data solely for the purpose of providing Services to you.

4.3 Deliverables

Unless otherwise agreed in a separate written agreement, all deliverables, reports, analyses, models, and work product created by Neuravoid in the course of providing Services ("Deliverables") shall be owned by you upon full payment. Neuravoid retains the right to use anonymized, aggregated data and methodologies for our own business purposes.

5. Confidentiality

5.1 Definition

"Confidential Information" means any non-public information disclosed by either party that is marked as confidential or would reasonably be considered confidential given the nature of the information and circumstances of disclosure.

5.2 Obligations

Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use it only for purposes of performing under these Terms. This obligation does not apply to information that: (a) is or becomes publicly available through no breach of these Terms, (b) was rightfully known prior to disclosure, (c) is rightfully received from a third party without breach of confidentiality obligations, or (d) is independently developed.

5.3 Data Security

Neuravoid implements reasonable technical and organizational measures to protect Client Data against unauthorized access, alteration, disclosure, or destruction.

6. Payment Terms

6.1 Fees

Fees for Services will be specified in a separate Statement of Work, proposal, or invoice. All fees are in Euros (€) unless otherwise stated. Neuravoid currently operates under the French VAT exemption regime ("franchise en base de TVA", art. 293 B of the French Tax Code); invoices are therefore issued without VAT.

6.2 Payment

Payment is due within 30 days of invoice date unless otherwise agreed in writing. Neuravoid typically requires an advance payment (deposit) before commencing work, the amount and schedule of which will be specified in the applicable Statement of Work, proposal, or invoice.

6.3 Expenses

Unless otherwise agreed, you will reimburse Neuravoid for reasonable, pre-approved expenses incurred in providing Services.

6.4 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental charges, which shall be your responsibility.

7. Term and Termination

7.1 Term

These Terms commence when you first access or use our Services and continue until terminated as set forth herein.

7.2 Termination

Either party may terminate a specific engagement upon 30 days' written notice. Neuravoid may suspend or terminate your access to Services immediately if you breach these Terms.

7.3 Effect of Termination

Upon termination, you must immediately cease all use of our Services. Sections that by their nature should survive termination shall survive, including but not limited to Sections 4, 5, 8, 9, 10, and 11.

8. Warranties and Disclaimers

8.1 Our Warranties

Neuravoid warrants that it will perform Services in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 8.1, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEURAVOID DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

9.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEURAVOID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THESE TERMS OR THE SERVICES.

9.2 Cap

NEURAVOID'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO NEURAVOID IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR €5,000, WHICHEVER IS GREATER.

9.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Neuravoid, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms, (b) your violation of any law or regulation, or (c) your Client Data or use of Services.

11. General Provisions

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts located in Bergerac, France.

11.3 Entire Agreement

These Terms, together with any Statement of Work or other written agreement between you and Neuravoid, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements and understandings.

11.4 Amendments

Neuravoid reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of Services after such changes constitutes acceptance of the modified Terms.

11.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

11.6 Waiver

No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.

11.7 Assignment

You may not assign or transfer these Terms or any rights hereunder without Neuravoid's prior written consent. Neuravoid may assign these Terms without restriction.

11.8 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or government restrictions.
